Terms of Service
01Who we are & key terms
CezDesigns is an independent freelance web design business based in Dublin, Ireland, designing and building websites for small businesses ("CezDesigns", "we", "us"). These Terms apply to anyone browsing this website ("you") and, in more detail, to anyone who engages CezDesigns for a project ("Client").
A few terms used throughout this page:
- Website — the website or web application CezDesigns designs, builds, hosts or maintains for a Client.
- Services — website design, development and any related services CezDesigns provides, such as hosting, maintenance or Quick Fixes.
- Content — text, images, logos, prices, opening hours, contact details and any other material supplied by the Client, or created for the Client as part of a project.
- Third-Party Services — hosting providers, domain registrars, APIs, plugins, analytics, booking or payment platforms, AI tools and any other external service a Website may rely on.
- Page — a distinct section of the Website accessible at its own URL, showing a single self-contained set of content (for example, a Home, About, Services or Contact page). A large catalogue, product database, multi-step application, or similarly complex feature is not treated as a single Page, even if shown at one URL — it's scoped and quoted separately as additional functionality.
- Standard third-party integration — connecting the Website to a third-party service using that service's normal, publicly available embed, link or widget — for example Google Maps, WhatsApp, Instagram or other social links, Google Reviews, a booking link, or a standard contact/form integration. Custom-built, deeply customised or non-standard integrations are scoped and quoted separately.
02Scope of work
Every project is based on an agreed scope, confirmed with the Client before work begins. Depending on the project, this can cover things such as:
- Number and type of Pages
- Features and functionality
- Standard third-party integrations
- SEO work
- Hosting
- Number of revision rounds
- Estimated timeframe
For the standard Own It package, the current included scope — up to 7 Pages, and up to 3 standard third-party integrations, among other items — is listed on our Pricing page, which also lists what's not included by default. That list forms part of these Terms for projects booked under it.
What counts as a Quick Fix
A minor content change to a live website — such as updating a phone number, a price, opening hours or a single image — that doesn't require new functionality, new Pages, redesign work, custom development, significant content creation, database restructuring or complex admin changes.
What counts as additional/out-of-scope work
Anything beyond what's agreed for your project or covered by a Quick Fix — new Pages beyond your package's limit, new integrations beyond the included allowance, new functionality, redesign work, or significant new content, including anything listed as not included on the Pricing page. Work outside the agreed scope may result in additional charges, and is always quoted and agreed before it begins.
03Irish Business Discount
The standard website package is €1,000. Businesses that qualify as based in Ireland receive €400 off, for a final website package price of €600 (the "Irish Business Rate").
- The discount applies to the standard website package price only. Hosting, domain registration/renewal, third-party services, additional Pages, additional integrations, and any other work outside the agreed project scope remain separately priced, whether or not the Irish Business Rate applies.
- Eligibility is based on the business being based in Ireland, checked using the Local Business Finder on our homepage (by town/city or Eircode) or another reasonable method CezDesigns may use to verify this. CezDesigns may ask for reasonable confirmation of eligibility.
- The discount cannot be combined with any other CezDesigns promotion or discount unless CezDesigns agrees to this in writing.
- Your final agreed project price — €1,000 or €600, as applicable — is fixed once agreed at the start of your project under Pricing & payment below. It is not an extra discount applied on top of a project price after the fact.
- CezDesigns may change or withdraw this discount for new projects at any time; it doesn't affect a price already agreed for an existing project.
04Pricing & payment
CezDesigns does not normally take upfront payment for the standard website project. The usual process is:
- You and CezDesigns agree the project scope and price — €1,000, or €600 under the Irish Business Discount where you qualify.
- CezDesigns builds the website.
- You review the website and receive your 5 included revision rounds (see Revisions below).
- Once the agreed project scope has been completed, the website moves toward final approval (see Approval & launch below).
- You pay the agreed project price.
- The website is launched or transferred as agreed.
The final price for your project may vary from the standard €1,000/€600 depending on the scope actually agreed — for example, extra Pages, custom functionality or add-ons — and is confirmed in writing before any work begins. Work outside the agreed scope is treated as additional work under Scope of work above and quoted separately.
If payment is overdue once due, CezDesigns may pause further work, delay launch, or — where a website is already live under a hosting or subscription arrangement — take it offline after reasonable notice, until payment is brought up to date. CezDesigns is not responsible for delays caused by overdue payment.
05Continuation payment
The 5 included revision rounds are meant to get your website right before you pay for it. If, after those 5 rounds, you'd like CezDesigns to continue with further revision work, we may ask for a €100 continuation payment before that further work begins.
This isn't an extra charge added on top of your agreed price — it's credited toward your final project price:
- Standard €1,000 project: €100 continuation payment + €900 final balance = €1,000 total.
- Irish Business Rate €600 project: €100 continuation payment + €500 final balance = €600 total.
This exists to confirm both sides are committed to continuing past the included revision rounds — it isn't a penalty for being unhappy with the work. It does not apply where the issue is that the website doesn't meet the originally agreed project scope: if something genuinely doesn't match what was agreed, tell us specifically what's wrong, and CezDesigns will address genuine scope-compliance issues as part of the original project, without requiring this payment.
The continuation payment is paid before the further revision work it covers begins. Its refund/cancellation treatment is addressed under Cancellation, termination & refunds below, and — like every payment under these Terms — remains subject to applicable Irish and EU consumer law.
06Revisions
The Own It website includes 5 revision rounds, confirmed as part of your agreed scope. A revision round means a reasonable, consolidated set of changes to the agreed design, content and functionality, submitted together and kept within the original project scope — not five individual edits sent one at a time.
Minor corrections and reasonable design/content changes within the agreed brief are included within a revision round. The following are not automatically covered by a revision round, and may be treated as additional work under Scope of work:
- New Pages not in the agreed scope
- New functionality not in the agreed scope
- A substantially new design direction from what was originally agreed
Once the 5 included revision rounds have been used, see Continuation payment above for how further revision work is handled.
07Client responsibilities
The Client is responsible for providing accurate and lawful Content in a timely manner, including:
- Business information
- Text and copy
- Images and logos
- Prices
- Opening hours
- Contact details
- Product/service information
- Any other material needed to complete the Website
The Client confirms that they have the necessary rights, permissions and licences to use any Content they provide, and that it does not infringe on the rights of any third party. The Client is responsible for the accuracy of the information they provide.
Where a third party makes a claim against CezDesigns arising specifically from Content the Client supplied that infringes that third party's rights, the Client agrees to reasonably indemnify CezDesigns for costs and losses directly caused by that claim. This doesn't apply to Content CezDesigns created itself, or to claims arising from CezDesigns' own acts, and doesn't affect the Client's rights as a consumer under Irish law.
08Client delays
Delays in providing Content, feedback, design approvals, payments, or other decisions needed to complete the project can extend the project timeline. Where a Client's delay affects the schedule, the estimated timeframe may move accordingly, and CezDesigns is not responsible for delays caused by outstanding material, feedback or decisions from the Client.
09Approval & launch
Rather than an open-ended standard like "you only pay when you're happy," the website is considered ready for approval once:
- The agreed project scope has been completed;
- The included revision rounds have been provided;
- Genuine defects relating to the agreed scope have been addressed; and
- The Client has had a reasonable opportunity to review the website.
The Client is responsible for checking the accuracy of business information, Content, prices, opening hours and any other supplied information before giving final approval and launch — CezDesigns builds the Website using what the Client has provided and approved. If a Client continues requesting changes that substantially alter the original brief after this point, those requests can be treated as additional work under Scope of work.
10Ownership & intellectual property
A few different things can make up a Website, and they're not all treated the same way:
- Client materials — Content, logos, photographs, branding and other material the Client supplies remain the Client's property throughout.
- Bespoke project work — the design and code created specifically for the Client's Website transfers to the Client once the agreed project price has been paid in full, subject to these Terms.
- CezDesigns materials — pre-existing code, reusable components, frameworks, templates, systems, development methods, internal tools and general know-how used to build the Website remain the property of CezDesigns, and may be reused in other projects, even where they form part of the technical foundation of a Client's Website. These are not transferred by payment for a project.
- Third-party materials — fonts, stock images, libraries, APIs, plugins, software and other third-party resources used in the Website remain subject to their own licences and terms. CezDesigns doesn't own these and can't grant rights in them beyond what its own licence allows.
Once the agreed project price has been paid in full, the Client owns the bespoke project work built for them, and has the right to use the Client materials and any third-party materials as licensed, for their Website. Websites provided under the managed website subscription are not purchased outright and are not subject to this ownership transfer while the subscription is active — see Subscription (Managed Website) below.
11AI-assisted development
CezDesigns may use artificial intelligence and automated development tools — including AI-assisted coding tools such as Claude — alongside normal development software, frameworks and everyday tools, as part of the design and development process. This is standard modern development practice, not a replacement for it: projects remain designed, reviewed and delivered by CezDesigns, not generated automatically without human involvement.
- AI tools may assist with coding, debugging, development, design ideas, content drafting and other development tasks.
- CezDesigns remains responsible for reviewing and integrating any AI-assisted output as appropriate before it forms part of a Client's Website.
- Third-party AI services are subject to their own terms and privacy policies, which are outside CezDesigns' control.
- CezDesigns does not guarantee that AI-assisted output is completely error-free, or completely free from every possible third-party intellectual property claim — the same is true of any complex software development work.
- CezDesigns takes reasonable care not to submit confidential Client information or unnecessary personal data to AI services.
12Third-party services
A Website may rely on third-party services — for example hosting providers, domain registrars, databases, payment providers, analytics providers, maps, booking platforms, APIs, AI services, or email/form providers such as Netlify Forms. These each have their own terms, privacy policies, fees, availability limitations and service interruptions, which are outside CezDesigns' control.
CezDesigns is not responsible for the availability, changes, pricing or functionality of third-party services, and cannot guarantee uninterrupted operation of any service it does not directly control. Where a Website relies on a third-party service, continued functionality depends on that service remaining available on similar terms.
13Hosting
Hosting is optional and currently priced at €15/month, subject to final agreement with the Client. It's separate from, and not included in, the €1,000 or €600 website price unless explicitly stated — it's an ongoing service, not a one-off fee, and CezDesigns doesn't offer free or lifetime hosting. Where taken, it includes Website hosting, SSL, deployment, basic hosting management, and hosting-related troubleshooting and maintenance — it does not include features that haven't been separately agreed.
Hosting does not include general website development, redesign work or unlimited changes. These are covered separately through Quick Fixes, the managed website plan, or as individually quoted additional work.
If hosting payments stop, CezDesigns may suspend or take the Website offline, after reasonable notice, until payment is brought up to date or an alternative hosting arrangement is made.
Owning a Website and hosting it with CezDesigns are two separate things. Where technically appropriate, Clients who own their Website outright are free to move it to hosting of their own choosing at any time, subject to these Terms and any third-party restrictions. Some features may need to be reconfigured, or may not be available on every hosting provider — feasibility is assessed case by case.
14Subscription (Managed Website)
Price & billing
The managed website plan is €50/month, billed monthly and recurring for as long as the subscription remains active. This is a separate pricing model from the €1,000/€600 Own It package — a Client is not paying for both at once.
12-month minimum term
The plan has a minimum term of 12 months from the start of the subscription — a minimum total commitment of €600 over the first 12 months (12 × €50), subject to the 30-day money-back guarantee below and any statutory cancellation rights the Client has as a consumer.
30-day money-back guarantee
The Client may try the managed website service for 30 days from the start of the subscription. If the Client decides it isn't right for their business and cancels within that first 30 days, CezDesigns will refund eligible payments made under the plan.
- Eligible payments are the monthly subscription payment(s) made under the plan itself.
- Separately purchased third-party costs already incurred on the Client's behalf during the 30 days — for example domain registration fees or a third-party subscription bought specifically for the Client — may not be refundable where those costs can't reasonably be recovered from the third party.
- This guarantee covers the subscription payment; it doesn't extend to any separately quoted and agreed additional work carried out at the Client's request during the 30 days.
This guarantee is provided in addition to, and does not limit, any rights the Client may have under applicable Irish or EU law.
What's included
The managed plan includes the items listed on our Pricing page at the time of subscribing — currently website design/development, website hosting, SSL/HTTPS, website deployment, routine website maintenance, basic technical maintenance, reasonable minor content updates where included, monitoring of basic website functionality, and basic support.
"Management" means keeping the Website online, secure and working as agreed, and making reasonable minor content updates within the plan — it does not mean unlimited development. The plan does not include unlimited revisions, new Pages, redesigns, new functionality, ecommerce development, custom functionality, copywriting, or advertising/SEO campaigns. Substantial work like this is scoped and quoted separately under Scope of work, the same as under the Own It package.
Ownership
The managed plan is a service and access subscription, not a website-ownership purchase — see Ownership & intellectual property above. Unlike the Own It package, the Client does not own the Website outright while subscribed, and CezDesigns' own reusable components, frameworks, templates and general know-how used to build or run it remain CezDesigns' property regardless of whether the subscription continues. If the subscription ends, the Client's access to the hosted/managed Website ends in line with this section.
Where reasonably possible, if a Client cancels, CezDesigns will discuss options for continuing with the Website independently — for example moving to a Website purchased outright, or transferring website files to hosting of the Client's choice, subject to a separate agreement and to which CezDesigns-owned reusable systems/components can and can't be transferred.
Hosting, domain & third-party services
Hosting is included as part of the managed plan for as long as the subscription is active. Domain registration and renewal fees are the Client's responsibility unless explicitly agreed otherwise, in line with Domains above. Where the plan relies on third-party services, Third-party services above applies in the same way as for any other Website.
Cancellation
- Within the first 30 days: the Client may use the 30-day money-back guarantee above.
- After 30 days, before the end of the initial 12-month term: the 12-month minimum commitment generally remains payable, subject to the Client's statutory rights and any exceptions CezDesigns agrees in writing. Nothing in this section overrides the Client's statutory consumer protections.
- After the initial 12-month term: the Client may cancel at any time by giving CezDesigns 30 days' written notice; the subscription and billing continue until the end of that notice period.
Failed payments, suspension & termination
If a subscription payment fails or is overdue, CezDesigns will make reasonable attempts to contact the Client before taking further action. If payment isn't brought up to date within a reasonable period after notice, CezDesigns may suspend the managed Website until payment is resolved, and may terminate the subscription for continued non-payment. CezDesigns does not delete a Client's website files or data immediately on suspension or non-payment — the Client will be given reasonable notice and an opportunity to resolve the issue or retrieve their Content first, and any retained data is otherwise handled in line with CezDesigns' Privacy Policy and applicable legal obligations.
Renewal after 12 months
After the initial 12-month term, the subscription automatically continues at €50/month until cancelled under Cancellation above — there's no separate "renewal" step, and no new minimum term is imposed unless CezDesigns and the Client agree one in writing.
This section is subject in full to applicable Irish and EU consumer law, including any statutory cancellation, refund or service-quality rights the Client has as a consumer — nothing here removes those rights. The exact legal treatment of the 12-month minimum term and the 30-day money-back guarantee should be specifically reviewed by an Irish solicitor before being relied upon commercially.
15Domains
Website ownership and domain ownership are separate. Where practical, the Client keeps ownership and control of their own business domain name. Where CezDesigns registers or configures a domain on a Client's behalf, this is done in the Client's name or account wherever the registrar allows it, and CezDesigns does not retain ownership of a Client's domain.
Domain registration and renewal fees are the Client's responsibility unless explicitly agreed otherwise with CezDesigns. If a Client already owns a domain, no change of registration is needed to use it with a CezDesigns-built Website. If a Client stops working with CezDesigns, they keep their domain and can point it at hosting of their choice, subject to Hosting above.
16SEO
Where included in a project, CezDesigns may implement basic on-page SEO best practices — such as page titles, meta descriptions, clean structure and mobile-friendliness. CezDesigns cannot guarantee Google (or any other search engine) rankings, first-page or position #1 results, search traffic, leads, sales, conversions, or how quickly a Website is indexed, as these depend on many factors outside CezDesigns' control.
17Security & availability
CezDesigns takes reasonable steps to develop and configure Websites securely and to keep them online and performing well, but no internet-connected service can be guaranteed to be completely secure or 100% available. Availability and security can be affected by factors outside CezDesigns' control, including third-party outages, and CezDesigns does not guarantee uninterrupted uptime.
18Bugs & support
CezDesigns provides a reasonable period after launch to correct genuine bugs — functionality that was included in the agreed scope but isn't working as agreed. Where a specific support period isn't otherwise stated on the Pricing page, it's confirmed as part of the project scope.
A bug is different from a new feature, a new Page, a new design request, a Client-requested modification, a change made by another developer, or an issue caused by a third-party outage, third-party software change, or hosting issue outside CezDesigns' control — these are handled under Scope of work, Third-party services or as separately quoted work, not as bug fixes. Nothing in this section removes any statutory consumer rights the Client has regarding services not provided with reasonable care and skill.
19Cancellation, termination & refunds
Because CezDesigns does not normally take upfront payment for the website project, there is normally no initial deposit to refund. This section is still subject in full to applicable Irish and EU consumer law, including any statutory cancellation, refund or service-quality rights the Client has as a consumer — nothing here removes those rights.
- Client cancels before work begins: since no payment has normally been made at this stage, either party is free not to proceed, and there's normally nothing to refund.
- Client cancels after work begins, before completion: as payment is not normally taken upfront under this pricing model, CezDesigns may invoice the Client for reasonable payment reflecting the work actually completed and time committed up to that point.
- Client cancels after completion: once the website is ready for approval under Approval & launch, the agreed project price becomes payable for the work delivered.
- Cancellation after the €100 continuation payment: where the Client has paid the continuation payment under Continuation payment above and then decides not to continue, that payment remains payable for the additional revision work and commitment it secures, in the same way the remaining project price becomes payable once the agreed scope is complete.
- CezDesigns cancels or ends a project: CezDesigns may pause or end a project where payment is significantly overdue, or where a Client repeatedly fails to provide information, feedback, decisions or approvals needed to continue the work, despite reasonable requests and notice. Where a project ends in these circumstances, payment for work already completed remains due.
- Hosting cancellation: hosting can be cancelled at any time; see Hosting above for what happens if hosting payments stop.
- Payment already made / work already completed: amounts properly due and paid for work actually completed aren't automatically refunded simply because a Client later changes their mind, but this doesn't override the Client's statutory consumer rights, including rights relating to services not provided as described or agreed.
Bespoke digital services like these can interact with statutory cancellation and "cooling-off"/withdrawal rules differently depending on how and when a contract is formed and when work begins — this section, and in particular the treatment of the €100 continuation payment and mid-project cancellation, should be specifically reviewed by an Irish solicitor before being relied upon commercially.
20Liability
To the extent permitted by law, CezDesigns is not liable for:
- Indirect losses, or loss of profits, revenue or business opportunity
- Outages, changes or issues caused by third-party services
- Content, images or information supplied by the Client, including inaccuracies
- Issues arising from external services, platforms or integrations outside CezDesigns' direct control
- Changes the Client or another developer makes to the Website after delivery
- Delays or issues caused by events outside CezDesigns' reasonable control
Where CezDesigns is liable to a Client, that liability is limited to the amount paid by the Client for the project giving rise to the claim. Nothing in these Terms limits or excludes any liability that cannot lawfully be limited or excluded under Irish or EU law, including liability for fraud, or for death or personal injury caused by negligence. CezDesigns does not claim to be immune from liability or from legal claims generally.
21Disputes
If something's gone wrong, we'd rather sort it out directly than end up in a formal dispute. The usual process is:
- Contact CezDesigns and explain the issue.
- CezDesigns reviews the issue and responds.
- Both sides try to resolve it directly — for example, by fixing a genuine scope-compliance issue under Bugs & support.
- Where that doesn't resolve things, either side can raise a formal complaint in writing.
- Where a dispute still can't be resolved, the Client may have access to alternative dispute resolution or the Irish courts, and nothing here limits the Client's right to pursue those options.
22Portfolio
CezDesigns may display completed client work, including screenshots and descriptions, in its portfolio and marketing materials, unless otherwise agreed in writing with the Client.
23Changes to these terms
These Terms may be updated from time to time to reflect how CezDesigns operates. The version published on this page when a project begins applies to that project. Continuing to use CezDesigns' Services after an update constitutes acceptance of the updated Terms.
24Governing law & contact
These Terms are governed by the laws of Ireland, and nothing in them affects the statutory rights of a consumer Client under Irish or EU law. If anything here is unclear, or you have questions about how it applies to your project, contact CezDesigns at cezarycichy03@gmail.com before starting work.
These Terms are written to clearly explain how CezDesigns projects, pricing and ownership work, for a normal small-business Client rather than a legal specialist. They're a professional starting point, provided for general informational purposes — not a claim that CezDesigns is protected from every possible legal claim or lawsuit — and are intended for review by an Irish solicitor before being relied upon commercially, particularly the sections on payment, the continuation payment, and cancellation/refunds.
